Competition Rules Overview

These are the official rules and requirements for the Synthetix Trading Competition.

  • Largest margin balance at the end of the competition wins.

  • Must be 18+, have an Ethereum wallet and not reside in an OFAC sanctioned region

  • Whitelisted access, no entry fee, single entry only.

  • Competition runs from Oct 21 to Nov 21 2025.

Official Competition Terms & Conditions

By entering or participating in the Synthetix Mainnet Trading Competition (“Competition”), you agree to be bound by these Synthetix Mainnet Trading Competition Official Rules (these “Official Rules”) and the decisions of the Competition Providers, including decisions regarding eligibility, winners and the interpretation of terms and conditions used in these Official Rules, which are final and binding in all aspects.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. DO NOT PARTICIPATE IF YOU ARE NOT ELIGIBLE AND/OR LOCATED IN AN INELIGIBLE TERRITORY AT THE TIME OF ENTRY OR WHERE REGISTRATION, BONDING, OR LOCALIZATION REQUIRED. VOID WHERE PROHIBITED.

PLEASE READ THESE OFFICIAL RULES CAREFULLY. THESE OFFICIAL RULES CONTAIN A BINDING ARBITRATION PROVISION AND A WAIVER OF YOUR RIGHTS TO CLASS OR REPRESENTATIVE ACTIONS.

The Competition is Sponsored by the Synthetix DAO (“Synthetix” or “Competition Providers”)

Accepting these Official Rules.

By entering or participating in the Competition, you: (a) agree to be bound by these Official Rules and by the interpretation of these Official Rules by Synthetix; (b) acknowledge compliance with these Official Rules; and (c) agree to comply with any and all applicable laws, rules, and regulations. Receiving a Reward is contingent upon fulfilling all terms, conditions, and requirements set forth in these Official Rules.

Competition period.

The Competition begins on October 21, 2025, at 08:00 UTC (“Start Date”) and ends on November 21, 2025, at 08:00 UTC (the “Competition Period”).

Eligibility.

Subject to these Official Rules, each entrant (“Player”) will receive a license to participate in the Competition. Participation is limited to up to one hundred (100) Players. The Competition is open only to those who: (a) are eighteen (18) years of age or older or who have reached the age of majority in their jurisdiction of residence as of the first date of participation in the Competition; (b) are a Whitelisted Player; and (c) are not prohibited, restricted, or otherwise ineligible to participate in the Competition.

Whitelisted Players.

The Competition is only open to those who meet the eligibility criteria (collectively, “Whitelisted Players”), which shall be at the sole discretion of the Competition Providers.

Ineligible Players.

You acknowledge and understand that the Competition (including participating in the Competition or receiving a Reward) is subject to applicable law, regulations, and treaties including, without limitation: (a) rules, regulations, and law addressing competitions, promotional offerings, and prizes (collectively, “Contest Laws”); and (b) sanctions and restrictions including economic sanctions, export restrictions, anti-money laundering law, and trade sanctions imposed, administered, or enforced by the United Nations Security Council, the Office of Financial Sanctions Implementation part of the HM Treasury, the United States Department of Treasury’s Office of Foreign Asset Control, and the United States Department of State (collectively, “Sanctions”). You may not participate in the Competition, nor is the Competition open to, residents of a jurisdiction where participation in the Competition violates Contest Law or Sanctions (each person who violates Contest Laws or Sanctions, a “Restricted Participant”). It is your responsibility to determine whether you are a Restricted Participant or not. We reserve the right, but not the obligation, to monitor the location from which you access the Competition and may temporarily or permanently block your access or terminate your participation in the Competition if, at any time, we deem you a Restricted Participant (including before or after the Competition Period).

Any individual who is ineligible to participate under the Synthetix Terms of Service, these Official Rules, or other applicable term, condition, or law is not permitted to participate in the Competition and agrees not to participate in the Competition. VOID OUTSIDE OF THE ELIGIBLE TERRITORY AND WHERE PROHIBITED OR RESTRICTED BY LAW.

Competition Account and Vouchers

Competition Account.

Each Player will receive access to a beta trade account (non-withdrawal, non-deposit account) (“Competition Account”) to participate in the Competition.

Vouchers.

During the Competition Period, each Player may receive one (1) or more collateral vouchers, denominated in a stablecoin or other crypto asset determined in Synthetix’s sole discretion, credited to the Player’s Competition Account (“Vouchers”), and usable only via the Player’s Competition Account. Player is permitted only to use Voucher credits as margin for futures trading on Synthetix’s limited-access perpetual decentralized exchange (“Synthetix Futures”). Vouchers are valid only during the Competition Period. Players are unable to (and agree not to try directly or indirectly to) transfer any Voucher from their Competition Account. No Voucher (or the Competition Account) is exchangeable for fiat currency or other monetary value; no Voucher may be gifted by a Player, Vouchers are not assignable, transferable, licensable, or otherwise may be conveyed, exchanged, or sent to any other person or account.

Participation

Initial Voucher.

On the Start Date, one (1) Voucher valued at fifty thousand USDT (50,000 USDT) (the “Initial Voucher”) will be credited to each Player’s Synthetix Account.

Halftime Voucher.

On November 6, 2025, an additional Voucher worth fifty thousand USDT (50,000 USDT) (the “Halftime Voucher”) will be credited to each Player’s Synthetix Account.

Bonus Vouchers.

During the Competition Period, a community poll on X (formerly Twitter) will be held by the Competition Providers (each, a “Second Chance Poll”), enabling users to vote on a Player who has less than one thousand USDT (1,000 USDT) in his/her Competition Account (collectively, “Liquidated Players”). At the end of a valid vote window of a Second Chance Poll, the Liquidated Player with the most votes will receive an additional voucher worth ten thousand USDT (10,000 USDT) (“Bonus Voucher”) denominated in a stablecoin subject to Synthetix’s sole and absolute discretion. The Bonus Voucher will be credited to the Player’s Competition Account. Each Player may only receive up to two (2) Bonus Voucher’s during the Competition Period.

Bug Bounty.

Successful bugs disclosed to Synthetix in the Telegram channel will be rewarded with additional margin for the trading competition:

  • Critical: twenty five thousand USDT (25,000 USDT) margin: e.g. Authentication bypass, data leaks, or trading manipulation with significant impact

  • High: ten thousand USDT (10,000 USDT) margin: e.g. API connectivity issues, liquidation logic failures

  • Medium: five thousand USDT (5,000 USDT) margin: e.g. API response issues, UI trading failures, margin calculation issues

  • Low: one thousand USDT (1,000 USDT) margin: e.g. Low low-impact UI or aesthetic issue

Allocation of bug bounties will be at the sole discretion of the Competition Providers.

Leaderboard Rewards

Leaderboard.

During the Competition Period, each Player will be visible on the Competition’s leaderboard. A Player’s rank on the leaderboard will be determined by calculating return on Voucher credits (“ROVC”) as follows:

ROVC = Profit/Start Date Credit where:

“Profit” = (current Competition Account balance + Synthetix Futures unrealized profit or loss) minus (Competition Account balance + Synthetix Futures unrealized profit or loss on the Start Date); and

“Start Date Credit” = the Initial Voucher amount ($50,000).

Rewards.

The following Rewards are available to Players in the Competition:

  • $1,000,000 USD x 1

  • 25,000 “$SNX” tokens (“Synthetix Tokens”) x 2

  • 10,000 Synthetix Tokens x 2

  • 5,000 Synthetix Tokens x 5

  • 19 Infinex Patrons

Determination of Reward Recipients.

Subject to these Official Rules, Players who are ranked between one (1) through ten (10) on the leaderboard will be eligible to receive a Reward (collectively, “Recipients”). The Reward each Recipient is eligible to receive is tiered based on rank, as above.

Additional Reward Terms.

Leaderboard calculations and final winner selection will be performed by Synthetix in its sole discretion and are non-transferable. Rewards shall be distributed in the sole discretion of the Competition Providers. If, for any reason, any Reward or any part of a Reward, is unavailable or related event is delayed, canceled, or postponed, or for any other reason, Synthetix reserves the right to modify the Reward in its sole discretion and award a substitute Reward, or portion of Reward, of comparable or greater value. No substitution, transfer, assignment, or cash equivalent of an applicable Reward, or any portion thereof, is permitted by the Recipient. The Competition Providers shall have no responsibility or obligation to a Recipient who is unable or unavailable to, or who does not for any reason, accept or utilize a Reward.

Recipient Responsible for Tax and other Liabilities.

The value of the Reward(s) may be taxable to the Recipient as income. All applicable tax liability and any other costs and expenses associated with acceptance or use of the Reward not specifically provided for in these Official Rules are solely the Recipient’s responsibility. Recipients are solely responsible for their entry into the Competition and should ensure that they understand the Recipient-specific tax implications of receiving crypto assets as a Reward.

Right to Use Competition Account.

Player understands and agrees that the Competition Providers provide Player with a limited, non-exclusive, non-transferable, non-sublicensable, revocable, right to use the Competition Account to access Synthetix Futures and submit eligible transaction instructions, subject to these Official Rules and during the Competition Period. Player further acknowledges and agrees that any profit, credit, margin, crypto assets, or other value or amount in Player’s Trading Competition Account or in an open, conditional, or other type of order, are not property, profit, or other value to Player and Player does not, at any time prior to, during, or after the Competition Period any right, title, or interest to such amounts in Player’s Competition Account or the Competition Account. Player agrees that Player’s limited right to access, use, transfer, or transact (including with margin) terminates immediately on the date and at the time that the Competition ends, whether at the end of the Competition Period or, if earlier, at such earlier time under these Official Rules.

Closing Balance.

All profits generated, Vouchers credited, and any and all other amounts that cause a Player’s Competition Account balance to be greater than $0.00 USD immediately at the time and date that Competition ends, whether at the end of the Competition Period or an earlier time (collectively, “Closing Balance”), are immediately subject to withdrawal by Competition Providers. Competition Providers have the sole and exclusive right to transfer all or a portion of Player’s Closing Balance to an address not associated with the Player and take any other action or refrain from acting or transacting with Player’s Closing Balance.

Positions are Closed after Competition Period.

All or a portion of Player’s open Synthetix Futures orders and contracts may remain open or may be closed immediately or at such other time, by Competition Providers in their sole right and discretion.

Notification and Verification of Recipients

Notification.

Each potential Recipient will be notified, within ninety (90) days (or such other time specified by the Competition Providers) of the end of the Competition Period, by email, by phone, or such other method specified by the Competition Providers, and Recipient will be required to confirm their email address and/or phone number. If Recipient cannot be reached after a reasonable effort has been exerted and/or fails to confirm their email address or other information requested by the Competition Providers, in its sole discretion, within five (5) business days (or such other time as specified by the Competition Providers) from when the initial notification to Recipient was sent, the Recipient forfeits the Reward.

Verification.

The Recipient may be required to prove eligibility, including by, without limitation, providing Recipient’s proof of age, residence, and identity information and documentation which may include submitting a copy of Recipient’s government identification document (passport, driver’s license, ID Card). Any Recipient is not an “official” Recipient and may not be confirmed as a Recipient until he/she has timely provided any and all information and documentation requested by the Competition Providers and completed, signed, and returned all documentation required by the Competition Provider, in the Competition Provider’s sole judgment and discretion. The Competition Providers reserve the right to delay the announcement of any or all Recipients for any reason the Competition Providers deem necessary.

Publicity and Competition Information

Competition Information.

By participating in the Competition, agreeing to participate in the Competition, and/or submitting an entry to the Competition, you agree to the Competition Provider’s use of your name, image (including profile picture), likeness, social media handle, entry, picture, voice, opinions and biographical information, Reward amount, quotes attributable to you, leaderboard standing, nickname, profit and loss, potential Reward amount, and any other elements of your persona (collectively, “Competition Information”) for the purposes of advertising, promotional purposes, administration of the Competition, in any medium and manner without additional compensation to the extent permitted by law.

Grant of Rights.

Except where prohibited by law, by participating, agreeing to participate in the Competition, and/or submitting an entry to the Competition, you grant the Competition Providers an irrevocable, perpetual, non-exclusive, worldwide license to publish, post, display, copy, distribute, transmit, edit, use alone, together or with other works, and otherwise use your Competition Information, whether provided or submitted or otherwise made available, in any manner whatsoever throughout the world, including on the Internet (including social media accounts, websites, and other electronic platforms, applications, or accounts owned or operated by the Competition Providers), and at any time or times, in connection with the Competition, in any and all forms of media, now known or hereafter discovered, without additional compensation, review or approval rights, notification or permission and you release the Competition Providers and their affiliates from any and all liability related thereto. You also consent to the Competition Providers sending you offers and promotions and adding you to a recipient’s list.

Shared Content.

You represent and warrant to the Competition Providers that you have the rights, authorizations, and licenses including, without limitation, receiving the owner’s consent before sharing third party content and/or not infringing or causing the Competition Providers to infringe any third party intellectual property rights and any other applicable right(s) to any and all content that you share with the Competition Providers or in connection with the Competition.

Social Media.

By submitting an entry or participating in the Competition you agree to a complete release of Facebook®, Instagram®, Twitter®, YouTube®, and/or any other social media platform, application, or site that is used to promote or enter into the Competition and acknowledges that the Competition is in no way sponsored, endorsed, administered by, or associated with Facebook®, Instagram®, Twitter®, YouTube®, and/or any other social media platform, application, or site. Further, you agree to abide by any and all, if any, requirements imposed by any social media platform used to promote or enter into the Competition.

Feedback.

By participating in the Competition, submitting feedback, or suggestion to the Competition Providers (collectively, “Feedback”) via your Competition Account or by other means, you acknowledge and agree that: (a) your Feedback does not contain confidential or proprietary information of you or any third party; (b) the Competition Providers are not under any obligations of confidentiality with respect to the Feedback or obligation to review and/or respond to your Feedback and (c) the Competition Provider may freely use, reproduce, distribute, and otherwise utilize the Feedback for any purpose and (d) you are not entitled to any compensation of any kind from us.

General Rules

A Contest Provider may run multiple campaigns (including competitions) simultaneously. Participation in one campaign does not constitute participation into any other campaign. When qualifying for the Competition, submitting an entry, or agreeing to join the Competition, you are required to provide complete and truthful information. Entries that are incomplete, false, lost, late, misdirected, deceptive, or otherwise not in compliance with these Official Rules may be disqualified from the Competition at Competition Providers sole and absolute discretion. Entries received or otherwise do not meet the eligibility requirements are void. The use of any scripts, computer programs, robotic, repetitive, macro, automatic, programmed, or similar automated entry methods or agents to qualify or submit entries will void all entries submitted by that person or that person’s agents. Synthetix will disqualify any entry from individuals who do not meet the eligibility requirements. Any trades that are executed through bad trading practices in Synthetix’s absolute opinion including but not limited to wash trades, false trading, self-dealing, or trades that display any attributes of market manipulation, will not be counted toward the potential Player or Player’s transaction volume or margin balance.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION OR THE COMPETITION’S ELECTRONIC PLATFORM OR APPLICATION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SYNTHETIX AND/OR SPONSOR RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON (OR GROUP OF PEOPLE) TO THE FULLEST EXTENT PERMITTED BY LAW.

The Competition Providers are not responsible for faulty, incorrect, undeliverable, or mis-transcribed phone/email/internet transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person’s computer related to or resulting from participating in or experiencing any materials in connection with the Competition, lost or unavailable network connections, or failed, incomplete, garbled, or delayed computer transmission that may limit a Player’s ability to participate in the Competition. Competition Providers assume no responsibility for undeliverable emails, messages, or other communications resulting from any form of active or passive filtering by a user’s Internet service provider and/or insufficient space in your email account.

Without limiting any other term or provision in these Official Rules, the Competition Providers are not responsible or liable to any participant, Player, Recipient or any other person claiming through such Recipient for failure to supply the Reward or any part thereof, cancel, suspend, or modify the Competition, in the event that the Competition activities or the Competition Providers operations or activities are affected, as determined by the Competition Providers in their sole discretion, including but not limited to fire, flood, epidemic/pandemic, labor dispute or strike, act of God or public enemy, if fraud, misconduct or technical failures destroy the integrity of the Competition.

Proof of submitting an entry will not be deemed to be proof of receipt by the Competition Providers. Any entries which are suspected of being fraudulent (including those using robotic, automatic, programmed, or similar methods of participation) will be disqualified, based on determinations made solely by the Competition Providers. The Competition Providers reserve the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirements of participation as stated herein or with any provision in these Official Rules.

Competition Providers reserve the right to disqualify participants for: (a) violation of these Official Rules or the Synthetix Terms of Service; (b) violations of applicable law, rule, or regulation; (c) using an account other than your own Synthetix Account; (d) using multiple accounts; (e) engaging in unfair competition as determined by Synthetix in its sole discretion, or (f) inappropriate, offensive, or other derogatory language or information (including for example offensive Competition nicknames). Competition Providers are not responsible for any changes or unavailability of your Internet, your Synthetix Account, or any other interference with your ability to access or otherwise participate in the Competition or receive notices or communicate with Competition Providers.

Competition Providers reserve the right to restrict, suspend, or void participation from any IP address if any suspicious participation is detected. Competition Providers reserve the right, in their sole discretion, to disqualify participants who they believe have attempted to tamper with or impair the administration, security, fairness or proper play of the Competition. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Competition-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency in these Rules), it will be resolved in Competition Providers’ sole discretion. You waive any right to claim ambiguity in the Competition or these Official Rules.

If Competition Providers determine at any time in their sole discretion that you are disqualified, ineligible, or in violation of these Official Rules, or engaging in behavior that Competition Providers deem obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Competition Providers reserve the right in their sole discretion to disqualify you from the Competition.

General Terms

Nothing contained herein shall be construed to be financial advice. Nothing contained herein shall constitute a solicitation, recommendation, endorsement, or offer by Synthetix and/or Sponsor to invest, buy, sell, trade (including margin trading), or stake crypto assets. Purchasing crypto assets involve a high degree of risk, and there is always the possibility of loss, including, without limitation, the loss of all staked crypto assets and the loss of all or a substantial amount of your initial U.S. Dollar equivalent purchase price or exchange amount. Please seek professional advice before making any financial, investment, or trading decisions.

The Competition Providers are not responsible for: (a) any incorrect or inaccurate information, whether caused by Players, errors or by any of the equipment or programming associated with or utilized in the Competition; (b) technical failures of any kind, including, but not limited to, malfunctions, interruptions or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Competition; (d) technical or human error that may occur in the administration of the Competition or the processing of entries; or (e) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from any Player’s participation in the Competition or receipt or use or misuse of any Reward.

If, for any reason, the Competition cannot be run as planned, at any time and from time to time, the Competition Providers may disqualify any suspect participants and: (a) suspend the Competition and modify the Competition to address the impairment, then resume the Competition in a manner that best conforms to these Official Rules; (b) terminate the Competition and award the Reward at random from among the eligible, non-suspect Player’s participating in the Competition up to the time of the impairment; and/or take any other action or inaction as deemed fair and appropriate.

Indemnification.

By entering the Competition, you agree to indemnify, defend, and hold harmless the Competition Providers, their affiliated companies, parent companies, subsidiaries, participating and promotional partners, any other company or organization involved in the creation, design, execution, production, or fulfillment of the Competition (collectively, the “Competition Companies”) and the Competition Companies’ officers, directors, employees, consultants, managers, contributors, agents, and representatives (collectively, with the Competition Companies the “Indemnified Competition Providers”) from any and all liability, claims, damages, injuries, or losses of any kind, and to release all rights to bring any claim, action, or proceeding arising out of, in connection with or relating to: (a) participation in the Competition; death or property damage arising directly or indirectly from the acceptance, possession, misuse, or use of a Reward; defamation, violation of publicity rights, or invasion of privacy in connection with the Competition or acceptance and use of a Reward; and (e) copyright infringement, trademark infringement, or any other intellectual property related cause of action arising from or related to the Competition, the Reward, or a Competition Company advertising and marketing related to the Competition, Player’s, or the Recipient, in all cases including without limitation: (i) unauthorized human intervention in the Competition; (ii) technical errors related to computers, servers, providers, telephone, or network lines; (iii) printing errors; (iv) lost, late, postage-due, misdirected, or undeliverable mail; (v) errors in the administration of the Competition or processing of entries; or (g) injury or damage to persons or property (including to any computer or mobile device resulting from participation in or accessing or downloading information in connection with the Competition), which may be caused, directly, or indirectly, in whole or in part, from participation in the Competition or receipt or use of a Reward. Player assumes all liability for any injury or damage cause, or claimed to be caused, by participation in the Competition, or the acceptance, receipt, or use of a Reward or any Reward component.

Limitation of liability. THE REWARD IS OFFERED AND PROVIDED “AS-IS” WITH NO WARRANTY OR GUARANTEE BY THE COMPETITION PROVIDERS OR ANY COMPETITION COMPANY, EITHER EXPRESS OR IMPLIED. BY PARTICIPATING IN THE COMPETITION, YOU AGREE THAT: (A) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (B) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, WHETHER THE COMPETITION PROVIDERS AND/OR OTHER COMPETITION COMPANIES HAVE BEEN ADVISED OF THE POSSIBLE OF SUCH LOSS OR DAMAGE OR NOT, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWENTY FIVE U.S. DOLLARS ($25.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (C) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

Dispute Resolution.

The governing provisions of the Synthetix Terms of Services apply in the event of any differences between those terms and this Section. Except where prohibited by applicable law, you agree that: (a) ANY DISPUTE CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE COMPETITION OR ANY REWARD SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; AND (B) In the event of a dispute between the parties related to these Official Rules or any Reward shall first participate in at least one (1) live or teleconferenced mediation session (i.e., using Zoom or a similar videoconferencing software that allows the parties to communicate in real time) with a Judicial Arbitration and Mediation Services, Inc. (“JAMS”) neutral. The parties agree to participate in mediation in good faith and the parties agree to share equally in the cost of such mediation. Should the dispute not be settled within seven (7) days following the mediation session, either party may then commence a binding arbitration administered in New York, New York by JAMS under its Expedited Arbitration Rules and Procedures (the “Expedited Procedures”) in effect at the time the arbitration is commenced, except as modified herein. A single arbitrator shall preside, and proceedings shall be conducted remotely to the maximum extent possible. The language of the arbitration shall be English. Each party shall initially pay its own expenses in such arbitration, including its attorneys’ fees, subject to reapportionment or an award of attorney’s fees by the arbitrator in a final award. The prevailing party as determined by the arbitrator shall be awarded its reasonable attorneys' fees and other costs incurred in the dispute in addition to any other relief to which it may be entitled. Any interim or provisional relief that would be available from a court of law shall be available in accordance with the rules of JAMS however, nothing in these Official Rules shall preclude the parties from obtaining preliminary injunctive relief in a court of competent jurisdiction located in New York, New York if necessary to prevent irreparable harm pending the conclusion of any arbitration. The final arbitration award may be confirmed in any state or federal court having jurisdiction over the parties, but the parties agree that the courts located in New York, New York, shall have jurisdiction over the parties and the subject matter of these Official Rules for any dispute arising hereunder, and the parties further agree to waive any claim of improper venue or forum non conveniens. Except as may be required by law, neither a party nor an arbitrator may disclose the existence or content of any arbitration hereunder without the prior written consent of both parties, except that either party may disclose any final arbitration award unless both parties agree in writing to keep it confidential.

Governing Law.

The governing provisions of the Synthetix Terms of Services apply in the event of any differences between those terms and this Section. These Official Rules shall be governed by and construed in accordance with the laws of the Republic of Panama, without giving effect to the choice of law principles of any jurisdiction that would dictate the application of any other law.

Modification.

The Competition Provider reserve the right to amend these Official Rules from time to time and in Competition Providers discretion. Any changes will be effective immediately upon posting of the revisions, and you waive any right you may have to receive specific notices of such changes or modifications. Any and all decisions of Competition Providers regarding the Competition, Reward recipients, or related to or arising from this Competition are final.

Miscellaneous.

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Competition Providers failure to enforce any term of the Official Rules will not constitute a waiver of that provision. When terms such as “may” are used in the Official Rules and Conditions, Competition Providers have sole and absolute determination. By participating in the Competition, you hereby agree to waive any rights to claim ambiguity of the Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. Competition Providers will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials relating to the Competition.
